Partner and Head of Transactions

Martin is Head of Z&Co’s transactions practice and has been based with the firm in Riyadh since 2013. His experience prior to joining to Z&Co. includes working in the corporate department at Slaughter and May in London. He received his law degree from the University of Oxford, BA in Jurisprudence and is admitted as a Solicitor in England and Wales. Martin has considerable experience of advising clients in a wide range of matters including corporate and commercial, capital markets, bank finance and foreign investment transactions, with a particular emphasis on corporate acquisitions and joint ventures.

Experience

  • The arrangers and dealers on GACI First Investment Company’s Guaranteed Euro Medium Term Note Programme (Green Bond) guaranteed by the PIF including the establishment of the programme and the first issuances under it.
  • Advising the lenders for the Kingdom of Saudi Arabia’s US$258m Hermes covered green ECA loan for the purchase of buses relating to the Riyadh public transport project.
  • The lenders on a US$17 billion term facility agreement for The Saudi United Investment Company, guaranteed by the PIF.
  • The finance parties and UK Export Finance on a guaranteed covered buyer credit facility for Qiddiya Investment Company guaranteed by the PIF (matter ongoing).
  • The lenders on a proposed margin loan facility agreement with JACI First Investment Company as borrower.
  • The lenders on the project financing for Prince Mohammad bin Abdulaziz International Airport in Medina, including advice concerning the interpretation of financial guarantee provided by the Ministry of Finance in relation to certain payment obligations of the General Authority of Civil Aviation.
  • BRF on its US$500 million joint venture with Halal Products Development Company to manufacture and sell poultry products in the Kingdom.
  • Zain KSA on the carve-out and sale of a majority state in its towers infrastructure to a joint venture owned by the PIF, Zain KSA and others.
  • Advising NEOM Tech & Digital Holding Company (Tonomus) on USD200m joint venture with OneWeb to provide satellite network services for NEOM.

St Catherine’s College, University of Oxford, BA and MA Honours degree in Jurisprudence
Nottingham Polytechnic (now Nottingham Trent University) – Law society Finals Course
