Experience

  • Reviewing and drafting transaction documentation (e.g., shareholders’ agreement, share purchase agreements, asset sale agreements and escrow agreements).
  • Representation of the Saudi Public Investment Fund, in its acquisition of a minority stake in Abu Qir Fertilizers; Chemical Industries, Alexandria Container and Cargo Handling Co, E-Finance for Digital and Financial Investments, and Misr Fertilizers Production Company, through its investment arm, the Saudi Egyptian Investment Company. The instructions included conducting a legal due diligence on the publicly available information and disclosures and reviewing the transaction documentation.
  • Representation of the distribution arm of Abu Dhabi National Oil Company (ADNOC) in connection with signing an agreement with Total Energy Marketing Afrique S.A.S.& to acquire a 50 percent stake in Total Energy Marketing Egypt LLC. The instructions included providing legal advice with respect to the nature of the retail fuel business in Egypt, conducting legal due diligence on the Egyptian entities and reviewing the transaction documentation.
  • Representation of Atlantic Industries, which was internationally led by Clifford Chance, in connection with the sale of its 42% stake in Coca-Cola Bottling Co of Egypt SAE (the Target), to Coca Cola Hellenic Bottling Company. The instructions included provision of legal advice on corporate law matters and assisting with the transaction documentation.
  • Representation of the Qatari investors in the restructuring and sale of their stake in the assembly vehicle of Bavarian Auto Group. The instructions included vendors due diligence on the Egyptian entities, providing legal advice with respect to the restructuring of the group companies and drafting the transaction documentation.
